1. Acceptance of Terms

Diligence Fund Distributors, Inc., dba AssetLink ("AssetLink", "we", "us", or "our") is an enterprise SaaS company and technology platform providing next generation data solutions combined with distribution services, including offering the website (the "Website" or the "AssetLink Services").

By accessing or using the AssetLink platform ("Platform") or website ("Website"), you agree to be bound by these Terms of Use. If you are agreeing to these Terms on behalf of an organization, you confirm you are authorized to do so.

If you do not agree with these Terms, you must not use the Platform.

2. Description of Services

AssetLink provides data-driven intelligence tools for advisor recruiters, asset managers, wholesalers, and RIA aggregators. Our services include:

  • Search and screening of financial advisors and firms
  • Regulatory data aggregation from SEC, FINRA, and IAPD sources
  • Movement tracking and signal detection
  • ICP tagging and segmentation tools
  • ConvoPulse conversation intelligence (for enterprise customers)

The Platform is for informational and business intelligence purposes only. It is not investment advice or an offer to buy or sell securities.

DFD provides tools connecting financial advisors and investors with fund sponsors of alternative investment funds exempt under the U.S. Securities Act of 1933. These funds are not offered or sold through the Website. Investors must independently evaluate all information provided by fund sponsors.

DFD offers a subscription-based platform for financial advisors to access accredited investors and investment solutions. Additional fees may apply for promotional features. Accredited investors must verify their status to use the platform. Investment managers and financial advisors pay subscription and promotional fees to appear on the platform.

3. Account Registration

To access the Platform, you must create an account. You agree that:

  • You are at least 18 years of age
  • The information you provide is accurate and complete
  • You will maintain the confidentiality of your account credentials
  • You are responsible for all activity under your account
  • You will notify us immediately of any unauthorized access

4. Acceptable Use

You agree not to:

  • Use automated queries, scraping, or data extraction without prior written permission
  • Impersonate any person or entity
  • Use the Platform for any unlawful purpose
  • Access the Platform if you are a direct competitor
  • Resell, redistribute, or sublicense Platform data without authorization
  • Interfere with the security or integrity of the Platform

5. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using the Platform, you consent to such collection and use.

Data displayed on the Platform is aggregated from public regulatory sources and third-party providers. While we strive for accuracy, we do not guarantee the completeness or timeliness of all data.

For enterprise customers: your organization's data, including ConvoPulse conversation data, is stored securely and is not shared with other customers or third parties except as required to provide our services.

6. Intellectual Property

The Platform, including its design, features, and underlying technology, is protected by intellectual property laws. AssetLink holds proprietary patents covering AI workflow automation and advisor intelligence.

You retain ownership of any data you upload to the Platform. You grant AssetLink a license to use such data solely to provide and improve our services.

7. Disclaimers

The Platform is provided on an "as is" and "as available" basis. AssetLink makes no warranties, express or implied, regarding:

  • The accuracy, reliability, or completeness of any information
  • Uninterrupted or error-free service
  • Fitness for a particular purpose

Past performance data displayed on the Platform is not indicative of future results. Use the services at your own risk.

8. Limitation of Liability

To the fullest extent permitted by law, AssetLink's liability for any claims arising from your use of the Platform shall not exceed the amount you paid for the services in the one (1) month preceding the claim.

AssetLink shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

9. Termination

AssetLink reserves the right to suspend or terminate your access to the Platform at any time, with or without cause, with or without notice.

Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination will survive.

10. Indemnification

You agree to indemnify DFD and its affiliates against all losses arising from your violation of these Terms or misuse of the Website.

11. Jurisdiction and Choice of Law

These Terms are governed by the laws of the State of Texas. All disputes shall be resolved in Texas state or federal courts. Claims must be brought within one (1) year.
